Commercial Agency Model Contract which is used when a foreign company appoints a Commercial Agent in India so that it may market and sell its products in India. The Agent’s remuneration is established through commissions on sales, although in some cases the parties may agree on the payment of certain travel and marketing expenses.
The Contract is drafted from the standpoint of the foreign company, but taking into account the commercial uses and practices of the Indian market and also the special characteristics of its business legislation.
This Contract includes all the most important clauses for agency agreements in India: appointment and duration, Agent´s obligations, orders and sales, commission, non-competition, resolution of disputes and governing law.
